Work You ll Do
Work with the acquiring company and the target company's upper management to design due diligence procedures, conduct field due diligence engagements, and perform complex accounting and due diligence procedures of balance sheets and income statements. Participate in the review and analysis of target company's annual reports and interact with target and client upper management to discuss field deal issues. Perform accounting and due diligence functions on field engagements for major corporate clients, and develop accounting worksheets. Participate in pre-due diligence planning for due diligence engagements, review target company's accounting and operating procedures and systems of internal control and conduct due diligence procedures which are sufficient in scope to support deal decisions made by clients. Participate in the preparation of due diligence reports, performing analytical reviews of financial documents and preparing the documentation supporting the due diligence findings. Perform accounting research to solve issues that arise during the course of due diligence engagements.
Bachelor's degree (or higher) in Accounting, Economics, or related field (willing to accept foreign education equivalent).
Eighteen months of technical accounting and auditing experience.
Experience must include eighteen months of:
Performing audits under Generally Accepted Auditing Standards (GAAS), Generally Accepted Accounting Principles (GAAP), Public Company Oversight Board (PCAOB), American Institute of Certified Public Accountants (AICPA) auditing standards, and Sarbanes-Oxley (SOX);
Auditing financial statements including reviews of quarterly financial information;
Designing, implementing, testing, and assessing deficiencies of internal controls;
Reviewing clients' filings under SEC regulations for material errors and inconsistencies;
Auditing financial statement balances and disclosures pursuant to FASB Accounting Standards Codification requirements;
Utilizing advanced Excel tools, including Pivot Tables, VLookup, and macros; and
Reviewing clients' annual reports and interacting with clients to discuss engagement issues.
