Work You ll Do
Assist clients in solving complex business and transaction issues, including analyzing alternatives and recommending solutions by providing well-reasoned valuation and advice. Quantify and present valuation analyses and conclusions in concert with prevailing accounting, tax, and regulatory codes, for transaction, financing, litigation, bankruptcy, reorganization, strategic planning, and compliance purposes. Perform financial reporting valuation for business combinations, inclusive of enterprise values, intangible assets, legal entities, and business interests. Perform valuation of goodwill and indefinite and long-lived asset impairment testing for financial reporting purposes. Perform valuation for tax purposes, including federal, state, local, international, and personal tax. Provide financial modeling assistance and other consultative valuation services in support of strategic business, planning activities, strategic investment decisions, and other financial objectives. Perform valuation for financial reporting purposes not elsewhere classified, including derivative securities and debt instruments, international fair value reviews, and business enterprise and equity valuations. Provide support as internal fair value specialist to audit team and assist the team with reviewing of third-party valuation appraisal prepared for audit clients.
Bachelor's (or higher) degree in Accounting, Finance, or related field (willing to accept foreign education equivalent).
Eighteen months of experience performing valuations and developing financial models.
Experience must include eighteen months of:
Performing business and financial assets/liabilities valuations for mergers and acquisitions, tax purposes, management planning purposes, financial reporting, and regulatory reporting;
Performing valuations for estate and gift tax compliance, including valuations of operating companies ranging from small privately-held entities ($50 to $500 million) to large privately-held companies (over $10 billion in value) and valuations of holding companies (discount study);
Performing valuation of intangible assets, including trademark, trade name, customer relationships, backlog, workforce, internally developed software technologies, and non-compete agreements;
Utilizing valuation techniques, including discounted cash flow method (income approach), guideline public company method and guideline public transaction method (market approach), and cost method (asset approach);
Utilizing Black-Scholes-Merton option pricing model and Monte Carlo simulation model to value performance-based employee stock options and warrants in accordance with U.S. GAAP, including FASB ASC 718;
Preparing business enterprise valuation, intangible asset valuation and discount study reports;
Performing research and analysis using databases and websites, including Capital IQ, Bloomberg, ktMine, BVR Mergerstat, Stout Restricted Stock Study, Partnership Profiles, Dow Jones Factiva, IVolatility, Economic Intelligence Unit, and IBISWorld;
Conducting in-depth client, economic, industry, competitor research and statistical/data analysis;
Developing financial models and report templates for valuation engagements; and
Gathering information, interacting directly with clients, and preparing for and participating in client presentations.
Less than 10% travel required.
