Transformation and Restructuring Senior Manager - M&A Finance
The US M&A and Restructuring (M&A/R) Offering Portfolio advises our client's as they seek to change the nature of their business and competitive position in the market through inorganic means (acquisitions, mergers, divestitures, and joint ventures). Work you'll do
As a Senior Manager, you will lead and deliver large, complex client engagements that identify, design, and implement creative business and technology solutions for large companies. Senior Managers are expected to contribute to the firm's growth and development in a variety of ways. You will be responsible for engagement management:
- Lead engagement planning and budgeting; mobilize and manage engagement teams; define deliverable structure and content; facilitate buy-in of proposed solutions from top management levels at the client; direct on-time, quality delivery of work products; manage engagement economics; manage engagement risk.
Senior Managers manage day to day interactions with executive clients and sponsors:
- Participate in Business Development, develop and maintain contact with top decision makers at key clients, organize and lead pursuit teams, participate and lead aspects of the proposal development process, contribute to the development of proposal pricing strategies.
Senior Managers must contribute to Practice Development & Eminence:
- Develop practical solutions and methodologies, develop "thoughtware" and "point- of-view" documents, participate in public speaking events, get published in industry periodicals.
As a Senior Manager you will be responsible for people development:
Perform the role of counselor and coach, provide input and guidance into the staffing process, actively participate in staff recruitment and retention activities, provide leadership and support for delivery teams and staff in local offices.
Restructuring advises, implements, and delivers transformative solutions to clients to achieve sustainable, tangible margin improvement and strategically allocate resources to growth initiatives. Restructuring will amplify M&A capabilities through collaboration with a wide variety of groups across Deloitte including Advisory, Tax, Strategy & Analytics, and Strategic and Business Cost Transformation to bring the best of Deloitte's value creation offerings to our clients. M&A Restructuring enables seamless access to all of our firm's value-related assets - in and outside M&A. They bring differentiated, value-focused, points-of-view and resources - in sales and delivery. Restructuring offers a complete suite of innovative digital and analytical capabilities including:
- Business and Operating Model Transformation; Digital Transformation; Synergy and dis-synergy assessments, planning and value capture; Rapid Cost Take-out - pre(distressed) clients; Working Capital Optimization; Strategic Turnarounds; Clean Room Services; Business Process Optimization / Automation; Stranded Cost Reduction; and Legal entity restructuring related transformation.
The Restructuring Finance team plays a critical role for clients in the transformation phase of the M&A deal lifecycle by the following:
Review M&A readiness documentation, tools, & templates as needed.
Revise M&A strategy if necessary based on lessons learned.
Assess potential for consolidating or closing business units.
Evaluate Finance Operating Model.
Align finance policies and procedures between target and acquirer.
Optimize unified planning, reporting & forecasting process.
Plan and prepare for rigor of next YE/audit.
Assess deal returns.
Document lessons learned.
A candidate must have M&A or M&A Service Delivery Experience in the following areas:
Participating in setting engagement objectives and scope.
Developing work plans for components of engagements, coordinate activities between work streams and identify changes in scope.
Designing deliverable content to precisely reflect the engagement contract and client needs and strive to improve deliverable quality through verification and validation of results.
Managing cross-functional teams to deliver M&A engagements across all of phases of the M&A lifecycle including due-diligence, pre-close, and post-merger integration / transformation.
Working cross-functionally across different practices and businesses within the Firm.
Providing corporate and private equity buyers with a broad continuum of advisory services to support mergers, acquisitions, carve-outs, investment and financing structures, disposition alternatives and post-transaction activities.
Partnering with senior executives to define how they employ M&A transformation - in alignment with their corporate strategy - to drive profitable growth and enable them to compete effectively in their industry.
Providing industry insight and analytical support using data mining, pattern matching, data visualization, and predictive modelling tools to produce analysis and algorithms that enables pre-deal and post-deal integration, divestiture, and major restructuring/cost transformation activities to achieve/exceed deal value, synergy targets, or strategic cost takeout objectives.
Managing service excellence by identifying key client business issues, determining client needs by supplementing the standard assessment techniques and tools with innovative approaches, evaluating and validating analysis and developing recommendations for the client in the context of the overall engagement.
Managing day to day interactions with executive clients and sponsors; develop and maintain contact with top decision makers at key clients.
Participating and leading the proposal development process encompassing the development of proposal pricing strategies.
Performing role of counselor and coach; actively participate in staff recruitment and retention activities; provide leadership and support for delivery teams and staff in local offices.
Improving internal processes, and promote knowledge sharing in the team, by contributing to the community of practice, blogs, and other forms of market eminence.
Bachelor's degree and 8+ years consulting and/or industry experience; alternatively an MBA with 6+ years relevant work experience is acceptable.
Travel up to 50% (While 50% of travel is a requirement of the role, due to COVID-19, non-essential travel has been suspended until further notice).
Limited immigration sponsorship may be available.
Strong oral and written communication skills, including presentation skills (MS Visio, MS PowerPoint) and executive presence.
Strong problem solving and troubleshooting skills with the ability to exercise mature judgment.
Apply practical experience with communications, culture, and change management.
Experience with staff development and eagerness to mentor junior practitioners.
Ability to work independently and manage multiple task assignments.
An advanced degree is preferred.
